1. Agreement to Terms

Welcome to Video Prompt Analyzer ("VPA"), a service provided by Ibnatics ("Company," "we," "us," or "our"). By accessing or using our website, applications, and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time. Your continued use of the Service following any changes constitutes acceptance of those changes.

2. Description of Service

VPA is an AI-powered platform that analyzes reference videos and generates optimized prompts for AI video generators including Sora, Runway, Veo, and Kling. The Service includes:

  • Video analysis and frame extraction
  • AI-powered prompt generation using multiple AI models
  • Prompt refinement and optimization tools
  • Scene and storyboard management
  • Style anchor presets and customization

3. Account Registration

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and update your information to keep it accurate
  • Maintain the security of your password and account
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account and use the Service.

4. Subscription and Payment

4.1 Free Tier

We offer a free tier with limited monthly token usage. Free accounts are subject to usage limits and may have reduced access to certain features.

4.2 Paid Subscriptions

Paid subscriptions ("Pro" and "Enterprise") provide increased token limits and additional features. Subscription fees are billed in advance on a monthly or annual basis.

4.3 Billing

By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. You are responsible for providing accurate billing information.

4.4 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. No refunds will be provided for partial months, except as required by law or as stated in our refund policy.

4.5 Refunds

We offer a 14-day money-back guarantee for new Pro subscriptions. Contact support within 14 days of your initial subscription for a full refund.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Upload, share, or process content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Infringe on the intellectual property rights of others
  • Generate content that is sexually explicit, violent, or promotes hate
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or servers
  • Use automated means to access the Service without our permission
  • Reverse engineer or attempt to extract the source code of the Service

6. Intellectual Property

6.1 Our Content

The Service, including its design, features, and content (excluding user content), is owned by Ibnatics and is protected by copyright, trademark, and other intellectual property laws.

6.2 Your Content

You retain ownership of all content you upload to the Service. By uploading content, you grant us a limited license to process, analyze, and store your content solely for the purpose of providing the Service.

6.3 Generated Prompts

Prompts generated by the Service based on your inputs are owned by you. You are free to use, modify, and distribute these prompts as you see fit.

7. Third-Party Services

The Service integrates with third-party AI providers including OpenAI, Anthropic, and Google. Your use of these services is subject to their respective terms of service. We are not responsible for the availability or performance of third-party services.

When using the "Bring Your Own Key" feature, you are responsible for compliance with the respective provider's terms and usage policies.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

We do not guarantee the accuracy, quality, or effectiveness of generated prompts. Results may vary depending on the AI video generator used.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IBNATICS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Ibnatics and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

11. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service will cease immediately.

You may delete your account at any time through the Settings page. Upon deletion, your data will be removed in accordance with our Privacy Policy.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Ibnatics is incorporated, without regard to its conflict of law provisions.
